# API Terms of Service

## Operator & Scope

These API Terms of Service ("**API Terms**") govern your access to and use of **NeuroAPI**, the paid developer API operated by Neuro Foundation LLC ("Operator," "Neurobro," "we," "our"), a company incorporated in Delaware, United States. NeuroAPI provides programmatic access to Neurobro's AI-driven financial intelligence — the same AI agent that powers the Neurobro Mobile App — across crypto, equities, forex, and commodities, returning AI-generated analysis in response to the questions you send.

NeuroAPI is a part of the "Services" as defined in our [Terms of Use](/legal/terms-of-use). These API Terms **supplement, and are incorporated into**, the Terms of Use and the [Privacy Policy](/legal/privacy-policy); by accessing NeuroAPI you agree to all three. Where a term specific to programmatic access conflicts with the general Terms of Use, these API Terms control **for your use of NeuroAPI only**. All defined terms not defined here have the meaning given in the Terms of Use.

## 1. Definitions

* **"NeuroAPI"** or the **"API"** — the endpoints, interfaces, documentation, and related developer tooling we make available for programmatic access to Neurobro's financial intelligence.
* **"API Key"** — the credential we issue that authenticates requests made under your account.
* **"Customer," "you"** — the individual or entity that registers for NeuroAPI and is responsible for the account and all activity under its API Keys.
* **"Input"** — the questions, prompts, custom instructions, schemas, and any other content you (or your Application) submit to the API.
* **"Output"** — the AI-generated responses the API returns for your Inputs.
* **"Application"** — the product, service, agent, tool, or workflow through which you integrate NeuroAPI.
* **"End User"** — any person who uses your Application.

## 2. License & Scope of API Access

### 2.1 Grant

Subject to your compliance with these API Terms, the Terms of Use, and the Privacy Policy, and to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the API, during the term of your subscription or plan, solely to develop and operate your Application and to display Output within it.

### 2.2 Reservation of Rights

We reserve all rights not expressly granted. NeuroAPI, the underlying AI agents, models, toolsets, prompts, software, and documentation are and remain the property of the Operator or its licensors and are protected as described in Section 9 (Intellectual Property) of the [Terms of Use](/legal/terms-of-use). This license does not grant you any right in the API itself, or any right to the underlying models or infrastructure, beyond the access expressly described here.

### 2.3 Account Responsibility

You are responsible for all activity that occurs under your account and API Keys, whether or not authorized by you. You must ensure that your End Users' use of your Application complies with these API Terms, and you remain responsible to us for that use.

## 3. API Keys & Authentication

### 3.1 Issuance and Security

Requests to the API must be authenticated with a valid API Key issued to your account. Your API Key is confidential. You are solely responsible for keeping it secret and secure, must not embed it in client-side code or any publicly accessible location, and must not share, sell, or transfer it. You are responsible for all usage and charges attributable to your API Keys.

### 3.2 Compromise

If you know or suspect that an API Key has been lost, leaked, or used without authorization, you must rotate or revoke the key promptly through the [NeuroAPI dashboard](https://neuroapi.neurobro.ai/) and notify us at [info@neurobro.ai](mailto:info@neurobro.ai). We may rotate, suspend, or revoke an API Key if we reasonably believe it has been compromised or is being used in breach of these API Terms.

## 4. Permitted Uses

You may use NeuroAPI to build and operate an Application that presents Output to your End Users, including trading bots and alpha apps, AI agents, dashboards, and internal research tools, provided you comply with these API Terms, the Terms of Use, the Privacy Policy, and all applicable laws. You may display and adapt Output within your Application, subject to the disclaimer and attribution requirements in Section 7.

## 5. Prohibited Uses

Your use of NeuroAPI is subject to the prohibited-use restrictions in Section 7.2 of the [Terms of Use](/legal/terms-of-use), which apply in addition to this Section. Without limiting those restrictions, you agree not to, and not to permit any End User or third party to:

* **Circumvent limits.** Exceed, bypass, or attempt to bypass rate limits, quotas, concurrency limits, or plan entitlements; pool, rotate, or share API Keys to aggregate quota; or create multiple accounts to evade limits or a suspension.
* **Resell or redistribute.** Resell, sublicense, lease, or redistribute API access or raw Output as a stand-alone substitute for the API, or scrape, cache, or store Output in bulk to build a competing or substitute data feed or resell it to third parties.
* **Train competing models.** Use the API, Inputs, or Output to train, fine-tune, benchmark for the purpose of building, or otherwise develop a machine-learning model, financial-intelligence service, dataset, or product that competes with Neurobro. This is consistent with the prohibition on reverse-engineering models in the Terms of Use.
* **Reverse engineer.** Reverse engineer, decompile, or attempt to discover the source code, models, weights, prompts, or underlying tool implementations of the API, except to the extent this restriction is prohibited by applicable law.
* **Disrupt or abuse infrastructure.** Interfere with, overload, or disrupt the API or its infrastructure, including through denial-of-service, automated scraping beyond documented endpoints, or probing, scanning, or testing the security of the Service without authorization.
* **Unlawful or harmful use.** Use the API to violate any law, regulation, or third-party right; to engage in market manipulation, fraud, or scams; or to generate or distribute misinformation, spam, malware, or malicious code.
* **Misrepresent Output.** Present Output as personalized investment, financial, legal, or tax advice, remove or obscure the disclaimers required by Section 7, or state or imply that Neurobro endorses, guarantees, or is responsible for your Application or any decision made using it.
* **Submit unlawful data.** Submit as Input any personal data, or any other data, that you do not have a lawful basis and all necessary rights and consents to submit and to have processed as described in these API Terms and the Privacy Policy (see Section 8).

## 6. Fees, Plans & Rate Limits

### 6.1 Fees

Access to NeuroAPI requires a paid plan. Current plans, pricing, included volume, and any enterprise options are described on the [NeuroAPI pricing page](https://neuroapi.neurobro.ai/docs/pricing). Subscription billing, auto-renewal, cancellation, refunds, taxes, and price changes are governed by Section 5.1 and Section 5.4 of the [Terms of Use](/legal/terms-of-use). Fees are for access to Neurobro's software and interface and do not constitute Neurobro taking custody of, or transmitting, your value or your End Users' value.

### 6.2 Rate Limits & Quotas

Your use of the API is subject to rate limits, concurrency limits, and usage quotas that vary by plan. The limits applicable to your plan, and the current published limits, are set out in the [documentation](https://neuroapi.neurobro.ai/docs). We may apply, adjust, or enforce these limits — including by throttling, queuing, returning errors, or temporarily suspending access — to protect the availability, security, and integrity of the Service for all users. We will use reasonable efforts to publish material limits in the documentation.

## 7. Output & AI Disclaimers

### 7.1 Nature of Output

Output is generated by AI agents and models, drawing on real-time tools and third-party data. As with all of Neurobro's AI content, Output may be inaccurate, incomplete, outdated, contradictory, or "hallucinated," and is provided **"as is"** for informational purposes only. The AI disclaimers in Section 4 of the [Terms of Use](/legal/terms-of-use) ("Nature of Neurobro's Intelligence") apply in full to all Output.

  NeuroAPI does not provide investment, financial, legal, regulatory, accounting, or tax advice, and nothing in the Output is a recommendation, solicitation, or offer to buy, sell, or hold any asset. Output is not personalized advice and is not a substitute for independent research or professional advisers. You and your End Users are solely responsible for any decision made in reliance on the Output, and you should independently verify Output before acting on it or exposing it to automated trading or other high-risk workflows.

### 7.2 Disclosure to End Users

If you display Output to End Users, you must clearly and conspicuously disclose that the content is AI-generated, may be inaccurate, and does not constitute financial advice, and you must not remove, obscure, or contradict this disclosure. You are responsible for your Application's own compliance with laws applicable to financial content, promotions, and AI-generated material in the jurisdictions where your Application is available.

### 7.3 Rights in Output

As between you and Neurobro, and subject to your compliance with these API Terms and payment of applicable fees, you may use, reproduce, and adapt the Output returned for your Inputs within your Application. Because the API is a shared, non-deterministic service, Output is not unique to you: similar or identical Output may be generated for other customers, and we retain the right to generate, use, and provide such Output to others. You retain all rights you hold in your Inputs.

**We do not use your Inputs or Output to train, fine-tune, or improve our AI models.** We process them only to operate, secure, meter, bill, and support the API and to generate the Output you request (see Section 8 and the [Privacy Policy](/legal/privacy-policy)). This commitment is ours alone; the third-party providers that generate Output follow their own data practices — including whether they train on Inputs — as described in **Section 8.2**.

## 8. Data & Privacy

### 8.1 How We Process API Data

To operate, secure, meter, and bill the API we process: your **API Keys and account/developer identifiers**; the **Inputs** you submit; **Output**; and **request and usage metadata** (such as timestamps, endpoints, token/usage counts, and status codes) used for authentication, rate-limiting, billing, abuse prevention, and debugging. NeuroAPI requests are handled as **stateless, single-turn** calls: we do not maintain conversational history across your API calls in the way the consumer chat products do. Our collection and use of this data is described in, and governed by, the [Privacy Policy](/legal/privacy-policy).

### 8.2 Third-Party AI Providers

To generate Output, the Inputs you submit are transmitted to third-party large language model (LLM) providers, as described in Section 7 of the [Privacy Policy](/legal/privacy-policy). We use **automated routing** to select a model and provider for each request; the provider that handles a given Input depends on our routing and may change at any time, and these providers may be located **outside your country and outside the EEA/UK, including in the United States and in China**. Each provider processes the data it receives under **its own terms and privacy policy**, which separately govern whether and how it retains or uses that data, **including for its own model training**. The providers we may use include:

* **DeepSeek** (Hangzhou DeepSeek Artificial Intelligence Co., Ltd.), which stores data in China and, under its [Privacy Policy](https://cdn.deepseek.com/policies/en-US/deepseek-privacy-policy.html), **may use Inputs to train and improve its models**; and
* **OpenAI**, which under its [API data-usage policy](https://developers.openai.com/api/docs/guides/your-data) **does not use data submitted through its API to train its models**.

We may add, change, or substitute providers over time; the current set of providers is described in the [Privacy Policy](/legal/privacy-policy).

**You are solely responsible** for the Inputs you send. Because routing is automated and you do not choose or control which provider handles a given Input, you must treat every Input as if it may be routed to any of the providers above, and you must not submit any Input whose transmission to, or processing by, any of them — including use of the Input to train that provider's models, or storage in that provider's jurisdiction — would not be permitted for the data in question.

  If your Inputs contain personal data of your End Users or other third parties, **you** are responsible for having a lawful basis and all necessary rights, notices, and consents for that data to be submitted to NeuroAPI and processed as described here and in the Privacy Policy, including its transmission to, and processing (which may include model training) by, the third-party AI providers above. You must not submit special-category, sensitive, or unlawfully obtained data as Input.

## 9. Service Availability, Changes & Deprecation

NeuroAPI is provided without any guarantee of uptime, availability, latency, or continuity. We may add, modify, deprecate, throttle, or discontinue endpoints, models, modes, features, or the API as a whole, and may impose or change limits, at any time. We will use reasonable efforts to give advance notice of material breaking changes or deprecations through the documentation or developer channels. Beta, preview, or experimental features are provided "as is," may change or be withdrawn without notice, and may carry additional or different terms.

## 10. Suspension & Termination

We may suspend, limit, or terminate your access to NeuroAPI, and revoke API Keys, with or without notice, if: you breach these API Terms, the Terms of Use, or the Privacy Policy; your account is overdue or unpaid; your usage threatens the security, integrity, or availability of the Service or other users; we reasonably suspect abuse, fraud, or unlawful use; or we are required to do so by law or by a third-party provider we depend on. Where practicable and lawful, we will aim to give notice and an opportunity to cure non-critical breaches.

You may stop using NeuroAPI and cancel your plan at any time as described on the [NeuroAPI dashboard](https://neuroapi.neurobro.ai/). On termination, your license under Section 2 ends, you must stop using the API and cease use of any cached Output except as required by law, and the provisions that by their nature should survive (including Sections 5, 7, 8, and 11–13) survive.

## 11. Disclaimers & Limitation of Liability

THE API AND ALL OUTPUT ARE PROVIDED **"AS IS"** AND **"AS AVAILABLE"** WITHOUT WARRANTIES OF ANY KIND. The disclaimers of warranties and the limitations and cap on liability set out in Section 11 of the [Terms of Use](/legal/terms-of-use) apply in full to your use of NeuroAPI and are incorporated here by reference. Without limiting them, we do not warrant that the API will be uninterrupted, error-free, secure, or that Output will be accurate, current, complete, or fit for any purpose, and we are not liable for any loss or damage — including trading losses, lost profits, or losses suffered by your End Users — arising from your use of, or reliance on, the API or Output.

## 12. Indemnification

In addition to the indemnity in Section 12.1 of the [Terms of Use](/legal/terms-of-use), you agree to indemnify and hold the Operator harmless from any claim, damage, liability, or cost arising out of or related to your Application, your Inputs, your End Users' use of your Application, your distribution or presentation of Output, or your breach of these API Terms or of any law or third-party right (including data-protection and consumer-protection laws) in connection with your use of NeuroAPI.

## 13. Governing Law & Dispute Resolution

These API Terms are governed by, and disputes are resolved under, Section 13 (Governing Law & Dispute Resolution) of the [Terms of Use](/legal/terms-of-use), including its Delaware governing law, informal-resolution step, binding-arbitration, class-action and jury-trial waiver, and time-to-file provisions, which apply to these API Terms as if set out here.
